PLEASE READ THESE TERMS CAREFULLY BEFORE USING EZLIST. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE AUTOMATION DISCLOSURE, LIMITATION OF LIABILITY, ARBITRATION AGREEMENT, AND CLASS ACTION WAIVER SET FORTH BELOW.

1. Description of Service

Ezlist ("Company," "we," "us," or "our") is an AI-powered listing automation tool that analyzes product photographs and generates listing content (title, description, price, and category) which is then submitted to Facebook Marketplace on the user's behalf through automated browser interaction.

2. Automation Disclosure — READ CAREFULLY

BY USING EZLIST, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

• Automated Interaction: Ezlist uses automated software (including browser automation) to access Facebook on your behalf using credentials and cookies you provide. This type of automation may violate Facebook's Terms of Service.
• Account Risk: Your Facebook account may be temporarily restricted, permanently suspended, or permanently banned as a result of using Ezlist. Ezlist makes no representation that its service is undetectable by Facebook or that it complies with Facebook's terms.
• No Guarantee: Ezlist does not guarantee that any listing will be successfully published, remain live, or that your Facebook account will remain in good standing.
• Your Consent: You are voluntarily providing Ezlist with access to your Facebook account and authorizing Ezlist to interact with Facebook on your behalf. You bear full responsibility for any consequences to your Facebook account.
• Indemnification: You agree to indemnify, defend, and hold harmless Ezlist and its developer from any claims, damages, or losses arising from Facebook's actions against your account, including but not limited to account suspension or loss of marketplace access.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• EZLIST SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE TO YOUR FACEBOOK ACCOUNT, INCLUDING TEMPORARY OR PERMANENT SUSPENSION, RESTRICTION, OR BANNING.
• EZLIST SHALL NOT BE LIABLE FOR ANY LOSS OF BUSINESS, REVENUE, PROFITS, DATA, OR GOODWILL, WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE, ARISING FROM YOUR USE OF THE SERVICE.
• EZLIST'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO EZLIST IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES; IN SUCH JURISDICTIONS, EZLIST'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

4. User Responsibilities

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use Ezlist.
• You are solely responsible for the content, accuracy, and legality of the listings you publish.
• You must comply with all applicable laws, regulations, and Facebook's own Terms of Service and Community Standards.
• You must not use Ezlist to publish illegal, fraudulent, counterfeit, stolen, or prohibited items.
• You must not use Ezlist to spam or post duplicate listings that violate Facebook's policies.
• You are responsible for maintaining the confidentiality of your Ezlist account credentials.

5. No Affiliation with Facebook / Meta

Ezlist is an independent service and is not affiliated with, endorsed by, sponsored by, or connected to Meta Platforms, Inc. or Facebook in any way. "Facebook" and "Facebook Marketplace" are trademarks of Meta Platforms, Inc. Use of these names is solely for descriptive purposes.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

7. Binding Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Ezlist shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and not in a court of law. The arbitration shall take place in the Commonwealth of Massachusetts.

Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

8. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

9. Subscription and Payments

Ezlist is offered on a subscription basis. Payments are processed securely through Stripe. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are issued at our sole discretion and are generally not provided for partial billing periods. You may cancel your subscription at any time through your account settings.

10. Account Termination

We reserve the right to suspend or terminate your access to Ezlist at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion. You may delete your account at any time by contacting us.

11. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
